HITMAKER SONG LAB
ENROLLMENT & PARTICIPATION AGREEMENT

1. AGREEMENT TO TERMS

​

This Enrollment & Participation Agreement ("Agreement") is a legally binding agreement between Hitmaker Song Lab ("Company," "we," "us," or "our") and the individual enrolling in the Hitmaker Song Lab mentorship program ("Participant," "you," or "your").


By accepting enrollment and participating in the program, you acknowledge and agree that:​

 

This Agreement governs your participation in the Hitmaker Song Lab mentorship program.

2. ENROLLMENT

 

Enrollment is open to participants of all ages. Participants under the age of 18 must have a parent or legal guardian complete the registration process and provide consent.

​

Participation is confirmed once:

  • Registration has been completed; and

  • Payment has been received in accordance with the Finance Policy & Payment Agreement.

​

Enrollment is personal to the registered participant and may not be transferred to another individual without the prior written consent of Hitmaker Song Lab.

 

3. MENTORSHIP SERVICES

​

Hitmaker Song Lab provides ongoing, one-on-one online creative mentorship designed to support songwriting, musicianship, and artistic development.

​

Services may include, but are not limited to:

  • Songwriting Mentorship

  • Vocal Coaching

  • Piano Lessons

  • Professional Song Feedback

 

All mentorship sessions are delivered privately via Zoom unless otherwise agreed in writing.

​

Mentorship is educational in nature and is designed to develop creativity, songwriting, musicianship, and artistic confidence. Participation does not constitute professional artist management, representation, employment, or career placement.

​

Some mentorship services may include additional creative resources, such as personalized feedback, or other materials, depending on the service selected.

 

4. ATTENDANCE & SESSION COMMITMENT

 

Because mentorship sessions are private and reserved exclusively for each participant, attendance and punctuality are essential.

​

Participants agree to:

  • Attend all sessions on time

  • Participate actively and respectfully

  • Complete weekly creative assignments

​

Rescheduling

Sessions may be rescheduled only:

  • With at least 48 hours’ notice

  • Subject to mentor availability

​

Sessions cancelled with less than 48 hours' notice may be forfeited in accordance with the Finance Policy & Payment Agreement.

​

Missed sessions outside of this policy are forfeited and are not automatically credited or rescheduled..

 

5. TIME ZONE

 

All sessions operate on Pacific Standard Time (PST).

 

Participants are responsible for:

  • Converting the scheduled time accurately to their local time zone

  • Ensuring timely attendance

 

Sessions missed due to time zone errors are treated as missed sessions.

6. TECHNICAL REQUIREMENTS

 

Participants must have access to:

  • A laptop or desktop computer

  • Stable internet connection

  • Working camera and microphone (required for all sessions)

  • Zoom installed

  • A smartphone with a voice memo or recording app

​

All necessary equipment is recommended depending on the mentorship service selected.

​

For example:

  • Piano Lessons require access to a piano or keyboard.

  • Vocal Coaching participants may be encouraged to use headphones or an external microphone where practical.

 

Participants are responsible for ensuring their equipment is tested and functioning prior to each session.


Technical issues on the participant's side do not automatically qualify for additional sessions, credits, or refunds.

 

7. PARTICIPANT RESPONSIBILITY

 

Participants agree to:

  • Participate respectfully and professionally.

  • Maintain open and courteous communication.

  • Attend sessions from a suitable learning environment free from unnecessary distractions.

  • Respect the mentor's time and scheduled appointments.

  • Maintain accurate contact information.

  • Complete agreed creative work where applicable.

  • ​

Hitmaker Song Lab is not responsible for a participant's conduct outside of scheduled mentorship sessions.

 

8. PARTICIPANT CODE OF CONDUCT

 

Participation in Hitmaker Song Lab requires adherence to the Hitmaker Song Lab Participant Code of Conduct, which is published separately and incorporated into this Agreement by reference.


By enrolling, the Participant agrees:

  • To read and comply with the Participant Code of Conduct

  • To conduct themselves professionally and respectfully throughout the mentorship

  • To understand that violations of the Participant Code of Conduct may result in termination of enrollment without refund

 

Prohibited behavior includes, but is not limited to:

  • Disruptive or inappropriate behavior

  • Harassment, bullying, or abusive behaviour

  • Sharing Zoom links or access credentials

  • Recording mentorship sessions without prior written permission

 

Hitmaker Song Lab reserves the right to terminate participation without refund for serious misconduct or repeated violations of the Participant Code of Conduct.

 

9. CREATIVE WORK 

 

Participants retain ownership of all original creative work they create, including lyrics, melodies, compositions, arrangements, and other original musical material.

Participants are solely responsible for ensuring that any material submitted during mentorship is their own original work and does not infringe the intellectual property rights of any third party.

​

Hitmaker Song Lab is not responsible for independently verifying the originality of submitted material and shall not be liable for any copyright disputes arising from participant submissions.

​

Participants agree to indemnify and hold harmless Hitmaker Song Lab against any claims arising from submitted material that infringes the rights of another party.

​

Participants grant Hitmaker Song Lab a limited, non-exclusive licence to review submitted material solely for the purpose of providing mentorship and creative feedback.

​

Participant work, name, image, recordings, or likeness will never be published or shared publicly without prior written consent.

​

Where included as part of the selected mentorship service, participants may receive additional creative resources, including professionally developed custom backing tracks or other supporting materials.

​

Unless otherwise agreed in writing, professional vocal recording is not included as part of any mentorship service.

​

10. PROPRIETARY MATERIALS & INTELLECTUAL PROPERTY

 

All curriculum, lesson materials, worksheets, frameworks, session structures, teaching methods, production templates, branding, and other program content provided by Hitmaker Song Lab (collectively, the "Program Materials") remain the exclusive intellectual property of Hitmaker Song Lab.


Program Materials are provided solely for the participant's personal educational use.


Participants may not:

  • Copy, reproduce, distribute, or share Program Materials

  • Record mentorship sessions without written permission

  • Publish or post Program Materials online

  • Use Program Materials to develop or teach a competing program

  • Modify, adapt, or commercially exploit any portion of the Program Materials

 

Unauthorized use, reproduction, or distribution of Program Materials may result in immediate termination of enrollment and legal action where appropriate.


Participant ownership of their original lyrics and compositions does not transfer ownership of Hitmaker Song Lab's curriculum, creative frameworks, production methods, or instructional content.

11. PROGRAM LIMITATIONS

 

Hitmaker Song Lab is an independent educational mentorship program.


Participation does not guarantee:

  • Recording contracts

  • Publishing opportunities

  • Entertainment industry access

  • Professional representation

  • Career advancement or commercial success

 

The primary purpose of the program is creative development, songwriting education, and artistic growth.

12. RESTRICTIONS ON RECORDING, ARTIFICIAL INTELLIGENCE & PROGRAM USE

 

Hitmaker Song Lab provides participants with access to proprietary creative frameworks, teaching methods, educational materials, and mentorship developed through years of professional songwriting experience.


To protect the integrity of the program and its intellectual property, Participants agree that they will not, without prior written permission from Hitmaker Song Lab:

  • Record, capture, or reproduce mentorship sessions in any format, except where expressly authorized in writing.

  • Upload, distribute, or share Program Materials, session content, or mentorship discussions with any third party.

  • Use any portion of the Program Materials, mentorship sessions, creative frameworks, exercises, or educational content to train, fine-tune, develop, or improve any artificial intelligence ("AI"), machine learning, or automated content generation system.

  • Use Program Materials to develop, teach, or operate a competing educational program, course, mentorship, coaching business, or commercial service.

  • Create derivative educational materials based substantially upon the Program Materials or The Hitmaker Method.

  • Sell, license, sublicense, publish, or commercially exploit any proprietary content provided through Hitmaker Song Lab.

 

Participants acknowledge that The Hitmaker Method, together with all associated teaching frameworks, creative exercises, lesson structures, instructional methods, and educational materials, constitutes valuable proprietary intellectual property belonging exclusively to Hitmaker Song Lab.


Any unauthorized recording, reproduction, distribution, AI training, or commercial use of Program Materials may result in immediate termination of participation without refund and may give rise to legal action to protect Hitmaker Song Lab's intellectual property rights.

 

13. CONFIDENTIALITY

 

Participants acknowledge that mentorship sessions may involve the discussion of unpublished creative works, songwriting ideas, artistic concepts, business insights, and other confidential information shared by both the Participant and Hitmaker Song Lab.


Participants agree to respect the confidentiality of all mentorship sessions and not disclose, publish, reproduce, or distribute confidential information, proprietary teaching methods, or unpublished creative material obtained through the program without prior written permission.


This provision does not prevent Participants from using the songwriting skills and knowledge they personally develop throughout the mentorship, but it does prohibit the unauthorized sharing or reproduction of proprietary educational content and confidential information.

14. TERMINATION

 

Enrollment may be terminated by Hitmaker Song Lab in cases of:

  • Non-payment

  • Serious misconduct

  • Repeated policy violations

  • Safety or security concerns

 

Termination does not relieve the Participant of any financial obligations under the Finance Policy & Payment Agreement.

13. LIMITATION OF LIABILITY

 

To the fullest extent permitted by law, Hitmaker Song Lab shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Technical disruptions beyond our reasonable control

  • Dissatisfaction with creative outcomes or artistic results

 

Participation is voluntary and undertaken at the Participant's own discretion.

14. ACKNOWLEDGMENT

 

By completing enrollment, the Participant confirms that they:
